Bylaws of The Chippewa Valley Disc Golf Organization


ARTICLE I- NAME, PURPOSE

Section 1: The name of the organization shall be the Chippewa Valley Disc Golf Organization Inc. or may be referred to as the CVDGO.

Section 2: The Chippewa Valley Disc Golf Organization Inc. is organized exclusively for charitable and educational purposes. Specifically, these are to raise funds to support disc golf, to help maintain the disc golf courses in the Chippewa Valley, to help educate people about disc golf, to help promote disc golf and to work with local governments to expand disc golf opportunities.

ARTICLE II - MEMBERSHIP

Section 1: Membership shall consist of all members with currently paid dues. A yearly membership is for a one year period from November 1 to October 31. Yearly dues are to be: Single $10.00, Family $15.00. Lifetime dues are to be: Single $100.00, Family $125.00. To remain current all membership renewals must be paid by April 1st.

ARTICLE III - ANNUAL MEETING

Section 1: Annual Meeting. The Board of Directors shall set the date, time, and place of the annual meeting. Normally it will be in late September or early October.

Section 2: Special Meetings. Special meetings may be called by any Board Member.

Section 3: Notice. Notice of each meeting shall be given to all members by mail or phone or email, not less than seven days before the meeting. The president can call a meeting without any notice if he and any two board members agree that it is in the best interest of the CVDGO to have a meeting.

ARTICLE IV - BOARD OF DIRECTORS

Section 1: Board Role, Size, Compensation. The Board is responsible for overall policy and direction of the organization and delegates responsibility for day to day operations to Directors, Committees and Members. The Board shall have up to seven and not fewer than four members. The board receives no compensation other than reasonable expenses.

Section 2: Meetings. The Board shall meet at least three times a year at an agreed upon time and place.

Section 3: Board Elections. Election of new directors or election of current directors to another term will occur at the annual meeting. Directors will be elected by the majority vote of the membership present.

Section 4: Terms. All Board members shall serve one year terms from November1 to October 31, but are eligible for re-election.

Section 5: Quorum. A quorum consisting of at least fifty percent of the Board Members before business can be transacted or motions can be made or passed.

Section 6: Notice. An official Board meeting requires each Board Member to be notified by mail or phone or email at least one week in advance. The President with the agreement of two other Board Members can call a board meeting with out any notice if they feel it is in the CVDGO's best interest. There must be a quorum at the meeting to transact business.

Section 7: Finance: The Board shall approve all expenses over $100.00 The President may approve expense under $100.00. In the event of an expense which must be acted upon between board meetings the president may contact three other Board members to approve an expense of up to $500.00.

Section 8: Officers and Duties. There shall be seven positions on the Board of Directors. They are President, Membership VP, Course Management VP, Course Management Director, Secretary, Treasurer, and News Letter Editor. Their duties are as follows:

President: shall convene regularly scheduled Board meetings, and shall preside or arrange for other members of the executive Board to preside at each meeting in the following order: Secretary, Course Management VP, Membership VP, Course Management Director, Treasurer, and News Letter Editor. The President shall supervise and coordinate the CVDGO's affairs and activities.

Course Management VP: shall supervise and coordinate the CVDGO's affairs and activities in the absence or incapacitation of the President, shall be in charge of the up keep and improvement of the Tower Ridge Disc Golf Course, and any other courses for which the CVDGO may accept responsibility.

Course Management Director: shall assist the Course Management VP with course upkeep.

Secretary: shall convene and preside at regularly scheduled Board or membership meetings, in the absense or incapacitation of the President, shall be responsible for keeping records of Board actions, including the taking of minutes at all Board or membership meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Board member, and assuring that CVDGO records are maintained.

Membership VP: shall be in charge of retaining existing members, recruiting new members and keeping all membership records up to date.

Treasurer: shall make a report at each board meeting, lead the preparation of the budget, help develop fund-raising plans, and make financial information available to the Board.

Newsletter Editor: shall be responsible for communications with the membership and the news media. These efforts may include publishing a newsletter, sending press releases for notable events and supervising web communications.

Section 9: Vacancies: When a vacancy on the board occurs, nominations for a new member may be received by any board member. The position is filled by a nominee receiving a majority vote of the remaining board members at the next board meeting. These vacancies will be filled only to the end of the replaced Board member's term.

Section 10: Resignation, Termination: Resignations from the board must be in writing and may be received by any board member. If a Board member's whereabouts are unknown and he or she cannot be located or contacted for a period of 30 days or more a quorum of the remaining board members may declare the board member to have resigned. A board member may be removed from the board by a three-fourths vote of the remaining Board members.

ARTICLE V- COMMITTEES

Section 1: The Board may create committees as needed. The President appoints all committee chairs.

ARTICLE VI- AMENDMENTS

Section 1: These bylaws may be revised or amended when necessary by a two-thirds majority of the Board. Proposed amendments must be submitted to the Secretary to be sent out with regular Board announcements.

This revision of the Bylaws supercedes all previous Bylaws and their provisions and amendments. These Bylaws were approved at a meeting of the Board of Directors of The Chippewa Valley Disc Golf Organization on
